Influencer terms and conditions
1. Introduction
This Influencer Terms and Conditions Agreement (“Agreement”) is made between THIRDREALITY (“Company”) and the undersigned influencer (“Influencer”). The Company specializes in smart home products, including smart lamps, switches, and other smart devices. This Agreement outlines the terms under which the Influencer will promote the Company’s products.
2. Engagement
The Influencer agrees to engage with their audience and promote the Company’s products on their social media platforms in a manner that is consistent with the Influencer’s image and following.
3. Content Creation
The Influencer shall create original content that showcases the Company’s products. The content must be truthful, comply with all applicable laws and social media platform rules, and reflect the Influencer’s genuine opinion and experiences.
4. Compensation
The Company shall compensate the Influencer as agreed upon in Schedule A of this Agreement, which may include monetary payment, free products, or a combination thereof.
5. Content Approval
The Company reserves the right to review and approve the content before publication to ensure it aligns with the Company’s brand and messaging guidelines.
6. Disclosure
The Influencer is required to disclose their partnership with the Company in all promotional content, in compliance with the Federal Trade Commission (FTC) guidelines.
7. Intellectual Property Rights
The Influencer grants the Company a non-exclusive, worldwide, perpetual license to use any content created under this Agreement for marketing purposes.
8. Confidentiality
The Influencer agrees to keep confidential any non-public information regarding the Company’s business and products and not to disclose such information without the Company’s prior written consent.
9. Term
The term of this Agreement shall commence on the Effective Date and continue until terminated by either party in accordance with the termination provisions set forth herein.
10. Termination
Either party may terminate this Agreement at any time by providing written notice to the other party.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is headquartered.
12. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
